RESPONSIBILITIES AND QUALIFICATIONS
The Goldman Sachs Global Banking and Markets -- Equities Legal team is seeking an experienced attorney to support the Global Banking & Markets Division in providing general legal advice focused on insurance and reinsurance transactions. Primary responsibilities will include preparing and overseeing disclosure matters and regulatory filings, structuring and negotiating transaction agreements, and providing support and advice across multiple transactional teams. This attorney will also oversee structuring of insurance transactions and advise on policies and regulatory guidelines for marketing, solicitation and execution of insurance and reinsurance transactions. Ideal candidate will have experience representing insurers, reinsurers and/or reinsurance intermediaries in the launch or reinsurance of fixed, fixed indexed or variable annuities. Experience working on the preparation of proprietary strategies and indices used in insurance and other wrappers and the preparation of index/strategy methodology, as well as experience with Bermuda reinsurance, is a plus.
Responsibilities:
- Provide strategic legal advice in connection with insurance and reinsurance transactions.
- Prepare and negotiate contracts, treaties and offering disclosures in support of the insurance and reinsurance business.
- Provide legal oversight in connection with regulatory requirements and updates related to U.S. insurance and reinsurance laws.
- Coordinate and collaborate with a diverse set of stakeholders to identify and help mitigate legal, regulatory and reputational risks.
- Instruct/work with/manage external counsel.
Qualifications:
- 5-7 years experience in insurance transactions and disclosure matters at a leading law firm or equivalent experience at a large financial institution.
- J.D. required; active member of one State Bar in good standing.
- Knowledge of and experience with complex insurance products.
- Knowledge of and experience with U.S. securities laws and NAIC model law, including disclosure requirements.
- Understanding of key NAIC and Bermuda Monetary Authority requirements for life & annuity companies.
- Excellent communications skills, in particular the ability to communicate complex concepts clearly and simply, and to present clear choices.
- Team player with inherent commercial judgment and strong analytical skills.
- High attention to detail with strong organizational skills and the ability to manage several simultaneous projects under deadlines.
